1. Introduction
These Terms of Use ("Terms") govern your access to and use of the PrivySeal Holder Portal, Verified-CV service, and your digital credentials (collectively, the "Holder Services").
Important: Your credentials are issued to you by the organization identified on each credential (the "Issuing Organization"). PrivySeal Limited ("PrivySeal", "we", "us", or "our") provides the technology platform that enables the Issuing Organization to create, manage, and deliver your credentials. We are not responsible for the content, accuracy, or validity of your credentials—those matters are between you and your Issuing Organization.
By accessing or using the Holder Services, you ("you" or "your") agree to be bound by these Terms.
2. Key Definitions
Credential - A digital certificate, badge, seal, or other digital artifact issued to you by an Issuing Organization through our Platform.
Holder Portal - The online portal that allows you to view, manage, and track your Credentials.
Verified-CV - Our service that enables you to create a collection of multiple Credentials in a single, verifiable format for easier viewing and sharing.
Issuing Organization - The institution, company, professional body, or other organization that has issued Credentials to you using our Platform.
Platform - The PrivySeal technology infrastructure that powers the creation, delivery, and verification of Credentials.
Personal Data - Information relating to you as an identifiable individual.
3. Nature of the Service
3.1 Our Role
PrivySeal provides technology services to Issuing Organizations. We:
Host and manage the Platform that creates and delivers Credentials
Provide the Holder Portal for you to access your Credentials
Offer the Verified-CV service to help you organize and share multiple Credentials
Enable verification of Credentials by third parties
3.2 The Issuing Organization's Role
Your Issuing Organization:
Determines what Credentials to issue to you
Controls the content and accuracy of your Credentials
Decides when to issue, update, or revoke your Credentials
Manages its relationship with you regarding the underlying qualifications, memberships, or achievements
3.3 No Contractual Relationship
You acknowledge that:
Your primary relationship is with your Issuing Organization, not with us
We provide services to the Issuing Organization; your use of Holder Services is incidental to that arrangement
These Terms govern your use of our technology platform, but do not create any rights regarding the underlying credentials themselves
Any disputes about credential content, issuance, or revocation must be addressed with your Issuing Organization
4. Your Account and Access
4.1 Account Creation
To access the Holder Portal or Verified-CV service, you may need to create an account. You agree to:
Provide accurate, current, and complete information
Maintain and promptly update your account information
Keep your login credentials secure and confidential
Notify us immediately of any unauthorized access
4.2 Account Responsibility
You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
4.3 Account Eligibility
You must be at least 16 years old to use the Holder Services. If you are between 16 and 18 (or the age of majority in your jurisdiction), you confirm that you have parental or guardian consent to use these services.
4.4 One Account Per Person
You may only maintain one account. Creating multiple accounts may result in suspension or termination of all accounts.
5. Use of Holder Services
5.1 License to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Holder Services for your personal, non-commercial purposes.
5.2 Permitted Uses
You may use the Holder Services to:
View and download your Credentials
Track the status of your Credentials
Share your Credentials with others through provided sharing features
Create and manage your Verified-CV
Update your contact details and preferences
Verify the authenticity of your Credentials
5.3 Prohibited Uses
You must not:
Use the Holder Services for any unlawful purpose
Attempt to gain unauthorized access to any part of the Platform
Interfere with or disrupt the Holder Services or servers
Use any automated system (bots, scrapers, etc.) to access the services
Attempt to reverse engineer, decompile, or disassemble any aspect of the Platform
Create fake, fraudulent, or misleading Credentials
Modify, alter, or tamper with any Credential
Impersonate another person or misrepresent your credentials
Overload or attempt to overload our systems (including denial-of-service attacks)
Upload viruses, malware, or other malicious code
Violate any applicable laws or regulations
Assist others in doing any of the above
5.4 Acceptable Use
You agree to use the Holder Services responsibly and in a manner that does not:
Harm or attempt to harm minors
Harass, abuse, or threaten others
Violate anyone's privacy or data protection rights
Infringe intellectual property rights
Transmit spam or unsolicited communications
Create excessive load on our systems through abnormal usage patterns
6. Your Credentials
6.1 Credential Ownership and Control
The Issuing Organization retains control over your Credentials, including the right to:
Update credential information
Revoke or suspend credentials
Modify credential terms or conditions
Determine credential validity periods
6.2 Credential Accuracy
We display Credentials based on data provided by your Issuing Organization. We do not verify, validate, or guarantee:
The accuracy of credential information
Your eligibility for any credential
The continued validity of any credential
The recognition or acceptance of credentials by third parties
6.3 Credential Revocation
Your Issuing Organization may revoke a Credential at any time. Revoked Credentials:
Will be marked as revoked in the system
May no longer be viewable or shareable
Cannot be reinstated by PrivySeal (contact your Issuing Organization)
6.4 Real-Time Updates
Credentials display real-time information from your Issuing Organization's data. Changes made by your Issuing Organization are reflected immediately (or updated on a regular interval) in your Credentials.
7. Verified-CV Service
7.1 Purpose
The Verified-CV service allows you to aggregate multiple Credentials from one or more Issuing Organizations into a single, organized view.
7.2 Your Responsibilities
When using Verified-CV, you:
May only include Credentials legitimately issued to you
Must not misrepresent or falsify any information
Are responsible for keeping your Verified-CV current
Should remove access to any Credentials you no longer wish to include
7.3 Sharing Your Verified-CV
When you share your Verified-CV:
Recipients can verify the authenticity of included Credentials
The Verified-CV reflects the real-time status of all Credentials
You control who receives access through sharing features
7.4 Third-Party Verification
Third parties viewing your Verified-CV can verify each Credential by checking that the Credential is displayed and reflecting, encrypted, on the Issuer’s domain. We provide the verification infrastructure but do not vouch for credential validity.
8. Privacy and Data Protection
8.1 Data We Collect
We collect and process:
Information provided during account creation (email, password)
Information from your Issuing Organization (credential data, qualification or other details)
Usage data (how you use and interact with the Credential/s and Holder Services)
Technical data (IP address, browser type, device information)
8.2 How We Use Your Data
We use your data to:
Provide and maintain the Holder Services
Display your Credentials and Verified-CV
Communicate with you about your account or services
Improve and develop our services
Ensure platform security
Comply with legal obligations
8.3 Data Sharing
We may share your data with:
Your Issuing Organization (to maintain credential accuracy)
Third parties when you use sharing features
Service providers who help us operate the Platform
Law enforcement or regulatory authorities when required by law
8.4 Your Data Rights
Depending on your location, you may have rights to:
Access your Personal Data
Correct inaccurate information
Request deletion of your data (subject to limitations)
Object to certain data processing
Data portability
Withdraw consent

8.5 Data Retention
We retain your data:
While your account is active
As long as necessary to provide services
As required by law or legitimate business purposes
In accordance with our data retention policies

9. Intellectual Property
9.1 PrivySeal's Rights
All rights in the Platform, Holder Portal, Verified-CV service, and related technology belong to PrivySeal or our licensors. This includes:
Software and source code
Design, layout, and user interface
PrivySeal trademarks and branding
Documentation and content we create
9.2 Issuing Organization's Rights
Content within your Credentials (logos, text, design elements) belongs to the respective Issuing Organizations.
9.3 Your Rights
You retain ownership of any personal information you provide. By using the services, you grant the Issuing Organizations and us, their service provider, a limited license to use your information as necessary to provide the Holder Services.
9.4 Restrictions
You may not:
Copy, modify, or create derivative works from our Platform
Remove or obscure any copyright, trademark, or proprietary notices
Use our trademarks without permission
Extract or reuse any content or data through scraping or automated means
10. Third-Party Links and Services
The Holder Services may contain links to third-party websites or services. We are not responsible for:
The content or privacy practices of third-party sites
Any transactions you make with third parties
The accuracy or reliability of third-party information
Your use of third-party services is at your own risk and subject to their terms and conditions.
11. Service Availability and Modifications
11.1 Availability
We strive to maintain reliable access to the Holder Services but do not guarantee:
Uninterrupted or error-free service
That the services will always be available
Any specific uptime percentage for free services
11.2 Maintenance and Downtime
We may temporarily suspend access for:
Scheduled maintenance
Emergency repairs
Security updates
Platform improvements
We will provide advance notice of scheduled maintenance when reasonably possible.
11.3 Service Modifications
We reserve the right to:
Modify or discontinue any aspect of the Holder Services
Change features or functionality
Update these Terms
Impose usage limits or restrictions
We will provide reasonable notice of material changes when feasible.
12. Disclaimers and Warranties
12.1 Service "As Is"
THE HOLDER SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
12.2 No Credential Guarantee
WE DO NOT WARRANT OR GUARANTEE:
The accuracy, validity, or authenticity of any Credential content
That Credentials will be accepted or recognized by third parties
That your Issuing Organization will maintain or honor Credentials
That Credential data is error-free or up-to-date
12.3 No Professional Advice
The Holder Services do not provide legal, financial, professional, or career advice. Any information displayed is for informational purposes only.
12.4 Third-Party Actions
We are not responsible for actions or omissions of:
Issuing Organizations
Third parties who view or verify your Credentials
Employers, institutions, or others who make decisions based on your Credentials
13. Limitation of Liability
13.1 Exclusions
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIVYSEAL SHALL NOT BE LIABLE FOR:
Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or opportunities
Business interruption or loss of business
Reputational harm
Any damages arising from your use or inability to use the Holder Services
13.2 Liability Cap
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED $100 USD OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS (IF ANY), WHICHEVER IS GREATER.
13.3 Essential Purpose
The limitations in this section apply even if any remedy fails of its essential purpose.
13.4 Exceptions
Nothing in these Terms limits liability that cannot be limited by law, including liability for:
Death or personal injury caused by our negligence
Fraud or fraudulent misrepresentation
Gross negligence or willful misconduct
13.5 Basis of the Bargain
You acknowledge that we offer the Holder Services free of charge to credential holders, and these limitations reflect the allocation of risk between us.
14. Indemnification
You agree to indemnify, defend, and hold harmless PrivySeal, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from:
Your use or misuse of the Holder Services
Your violation of these Terms
Your violation of any rights of another party
Any fraudulent or illegal activity related to your account
Your misrepresentation of credentials or qualifications
15. Term and Termination
15.1 Term
These Terms remain in effect while you access or use the Holder Services.
15.2 Termination by You
You may stop using the Holder Services at any time by:
Ceasing to access the Holder Portal
Deleting your account (if applicable)
Contacting us to request account closure
15.3 Termination by Us
We may suspend or terminate your access immediately if:
You violate these Terms
We suspect fraudulent, abusive, or illegal activity
Required by law or legal process
Your Issuing Organization requests termination
We discontinue the Holder Services
15.4 Effect of Termination
Upon termination:
Your right to access the Holder Services ceases immediately
We may delete your account and associated data (subject to legal requirements)
Your Credentials issued by organizations may remain accessible through other means determined by those organizations
Provisions that by their nature should survive (disclaimers, limitations of liability, etc.) continue in effect
16. Changes to These Terms
16.1 Modification Rights
We may modify these Terms at any time by:
Posting updated Terms on our website
Updating the "Last Updated" date
Notifying you via email or through the Holder Portal (for material changes)
16.2 Your Acceptance
Continued use of the Holder Services after changes constitutes acceptance of revised Terms. If you do not agree to changes, you must stop using the Holder Services.
16.3 Material Changes
For material changes that reduce your rights, we will provide at least 30 days' notice before the changes take effect.
17. Dispute Resolution
17.1 Informal Resolution
Before initiating any formal proceedings, you agree to contact us at [support email] to attempt to resolve any dispute informally.
17.2 Governing Law
These Terms are governed by the laws of South Africa, without regard to conflict of law principles.
17.3 Jurisdiction
Subject to Section 17.4, you agree to the exclusive jurisdiction of the courts of South Africa.
17.4 Arbitration
Arbitration may be permitted at our sole discretion.
17.5 Class Action Waiver
You agree to bring claims only in your individual capacity and not as part of any class or representative action.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and PrivySeal regarding the Holder Services.
18.2 Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
18.3 No Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
18.4 Assignment
You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.
18.5 Force Majeure
We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control (natural disasters, war, pandemic, internet failures, etc.).
18.6 Relationship
These Terms do not create any partnership, joint venture, employment, or agency relationship.

19. Special Provisions for Minors
If you are under 18 years old:
You confirm you have parental or guardian consent to use these services
Your parent or guardian should review these Terms with you
Your parent or guardian may contact us regarding your account
We may require parental verification before providing certain features
20. Security and Reporting
20.1 Security
You agree to:
Use strong passwords and keep them confidential
Enable two-factor authentication if available
Report any security vulnerabilities responsibly
Not attempt to breach security measures
20.2 Reporting Abuse
If you become aware of:
Fraudulent or fake Credentials
Misuse of the Platform
Security vulnerabilities
Violations of these Terms

21. Acknowledgment and Acceptance
By checking the acceptance box, creating an account, or using the Holder Services, you acknowledge that:
You have read and understood these Terms
You agree to be bound by these Terms
You understand that your credentials are issued by Issuing Organizations, not by PrivySeal
You understand that disputes about credential content must be addressed with your Issuing Organization
You consent to the collection and use of your data as described in these Terms and our Privacy Policy
